User agreement for the StelsVPN internet service

By this User Agreement (hereinafter referred to as the "Agreement"), the Administration of the STELSVPN Internet Service offers any person, hereinafter referred to as the User, to order services offered by the Administration on the pages of the STELSVPN Service. Services refer to the User's ability to place and pay for an application to use VPN servers from the list and at the price indicated on the Service pages, including in the User's personal account.

Server rental refers to the provision of temporary use of VPN servers on the Internet upon the User's request.

Any actions performed by the Administration and Users within the Internet Service are regulated by this Agreement, the Privacy Policy, the Service Rules, as well as the current legislation of the Republic of Cyprus.

This Agreement is recognized as an offer, i.e., it contains all essential terms of the Contract, from which the intent of the person making the proposal to conclude the Contract on the specified terms with any person who has accepted the offer in accordance with the terms of this Contract is evident. Unconditional acceptance (acceptance) of the terms of this offer Agreement is considered to be the commencement of use of the Service to the extent available without registration and/or registration in the Service as a User. The User's use of the Service means that the User accepts and agrees to comply with all the following terms of the Agreement.

This Agreement regulates the procedure for the Administration to provide services using the functionality of the Service and its software. The User accepts and agrees that the acceptance of this Agreement is a legal fact of consent and acceptance of both the terms of this Agreement and all annexes to this Agreement, which are its integral parts. Annexes to this Agreement may have an additional mechanism for their approval and acceptance by the User, which is regulated directly in the text of such annex.

TERMS AND DEFINITIONS

Administration – a representative of the Service who provides services to the User in the field of providing the opportunity to use VPN servers, access to which is provided by the Administration.

Internet Service (hereinafter – the Service) – a set of services, including a public internet resource published on the Internet at "STELSVPN", applications, plugins, and software that contain informational materials related to the terms and rules of contractual relations between the Administration and the User, including the use of the Service's services.

Content – all materials available through the Service.

User – any individual who has reached the age of majority, who has completed the registration procedure and subsequently places orders and pays for the Service's services in the manner and method provided by the terms of this Agreement.

VPN Server – a VPN server refers to technology for creating an encrypted connection that provides anonymous access. This is a specialized set of software installed on a server that processes incoming and outgoing VPN connections.

GENERAL PROVISIONS

This Agreement regulates relations arising between the Administration and Users in the process of providing services by the Administration at the User's order in the field of providing VPN servers for use.

This Agreement was developed by the Administration and contains the basic norms and rules on the basis of which services are provided and the opportunity to use the Internet Service is granted.

The combination of software of the Internet Service is designed to provide the User with the opportunity to order services from the Administration and consume such services according to the formed and paid order.

The Administration reserves the right to make changes to the text of this Agreement by notifying Users by publishing a new version of the Agreement and notifying Users thereof. The User is obliged to regularly monitor changes made to the text of this Agreement. If the User does not agree with the new version of this Agreement, the User is obliged to immediately stop using the Internet Service (its services). If the User continues to use the Internet Service (its services) after the new version of the Agreement comes into force, the User thereby confirms full agreement with the new version of the Agreement.

The User is obliged to fully familiarize themselves with the Agreement before completing the registration procedure. Use of the Internet Service means full and unconditional acceptance by the User of this Agreement in accordance with the norms of current legislation.

ACCEPTANCE OF THE AGREEMENT

To be able to use the functionality of the Internet Service and the Administration's services, the User must accept this Agreement.

Acceptance of this Agreement means full acceptance and agreement by the User with the terms of this Agreement, as well as other documents that regulate the functioning of the Software tools.

From a legal point of view, acceptance of this Agreement constitutes legal actions by the User aimed at completing the registration procedure in the Internet Service. Such actions mean the provision by the User of personal data to the Administration for the purpose of formalizing contractual relations under the terms of this Agreement. Unconditional acceptance (acceptance) of the terms of this offer Agreement is considered to be the commencement of use of the Service to the extent available without registration and/or registration in the Service as a User.

The User is prohibited from using the functionality of the Internet Service without full and unconditional agreement with the terms of this Agreement.

All electronic documents, notifications, and expressions of will, executed or made remotely through the Internet Service and within the framework of this Agreement, are recognized as duly made in simple written form.

The term for acceptance of this Agreement is unlimited or set individually.

REGISTRATION

A mandatory condition for starting to use the Internet Service and VPN server rental services is the User's completion of the registration procedure.

The registration procedure is carried out by the User by providing the Administration with personal data (including email address) according to the registration form published at - https://panel.stelsvpn.com

After completing the registration procedure, the User will be sent a message to the email address specified by the User during registration in the Internet Service. In this message, the Administration notifies the User of the registration and the assignment of User status in the Internet Service, and this message also indicates the initial login password.

To authorize in the Internet Service, the User must enter their email address and the password provided by the Administration in the corresponding authorization fields. Authorization in the Internet Service is carried out at - https://panel.stelsvpn.com

PERSONAL ACCOUNT

After completing the registration procedure and assigning the legal status of a registered User of the Internet Service, the Administration provides such User with access to a personal account.

The personal account is intended for the following purposes:

Replenishment of the User's personal balance;

Familiarization with the list and cost of services provided by the Administration within the Internet Service;

Placing an order;

Payment of the placed order;

Statistical control and management of VPN servers that have been transferred to the User for use;

Other actions provided by the functionality of the personal account.

The User confirms that any actions of the User within the personal account are the actions of the User themselves.

The User is prohibited from providing other persons with access to the personal account.

ORDER PROCEDURE

To be able to place an order, the User must first replenish their personal balance within the Internet Service. The personal balance can be replenished by any of the methods provided in the User's personal account.

If the User's personal balance in the Internet Service has a sufficient amount of funds, the volume of which is displayed in the User's personal account, the User has the opportunity to select the services of interest and place an order and make payment.

The fact of placing an order and its payment is displayed in the User's personal account.

The Parties have agreed that if within three days from the date of completion of services for a specific User order, the User does not send a claim to the Administration regarding improper provision of services, the services are considered to have been properly provided by the Administration, and the User has accepted them in full and without claims.

RIGHTS AND OBLIGATIONS OF THE ADMINISTRATION

The Administration acts on behalf of the Internet Service and the beneficiaries of the Internet Service, within the framework of this Agreement and other documents that regulate the functioning of the Internet Service and Software tools.

The Administration monitors the functioning of the Internet Service, its operability, as well as the actions of Users in the process of using the Internet Service and the Administration's services.

The Administration reserves the right to restrict the User's access to the Internet Service if such Users (in the opinion of the Administration) violate the terms and requirements of this Agreement, as well as other documents that regulate the use of the Internet Service.

The Administration has the right to:

At any time change the design of the Internet Service, its content, list of services, modify or supplement the software used or stored in the Internet Service and other objects, any server applications at any time with or without prior notice;

If necessary, send messages to Users by email and other available means regarding the use of the Internet Service and services;

Change the terms of service provision that the Administration provides based on User orders;

Reject User orders for services in cases where, in the opinion of the Administration, such orders are related to the User's improper use of the Administration's services and/or if the User's actions violate the Service Rules;

Provide the User with paid and free services, the procedure for which is described in this Agreement, as well as other documents that regulate relations between the Administration and Users;

Request at any time and in any form the User's consent to the processing of personal and other data;

Store the User's Personal data even after deletion of their account for the purposes of the Administration's fulfillment of its legal obligations related to Users' Personal data;

Import and store personal data to which access was provided by the User;

Establish additional restrictions on the use of the Internet Service, as well as change such restrictions at any time;

Perform other actions to improve the quality and convenience of using the Internet Service by Users.

The Administration undertakes to:

Provide the User with services related to VPN server rental and other services based on User orders and within the terms of this Agreement;

The list of rights of the Internet Service Administration regulated by this Agreement is not exhaustive.

The Administration undertakes to take all reasonable measures to ensure the stability and availability of the service but does not guarantee its uninterrupted operation due to the nature of the internet.

RIGHTS AND OBLIGATIONS OF THE USER

A person who has completed the registration procedure and uses the Internet Service within the provided functionality is recognized as a User to whom the list of rights and obligations provided by this Agreement and other documents published on the pages of the Internet Service applies.

Services within the Internet Service are provided on a paid basis, the amount of which depends on the volume and specification of services ordered by the User.

The User has the right to:

Place service orders within the personal account in the Internet Service;

Use the functionality of the Internet Service;

Require the Administration to comply with the terms of this Agreement, as well as other documents that regulate the functioning of the Internet Service and the procedure for providing services;

Send requests to the Administration regarding the functioning of the Internet Service and the procedure for providing services;

Use the option to delete the User's account. The ability to delete an account is provided by the corresponding "delete account" button located in the application settings.

The User undertakes to:

Comply with all the terms of this Agreement, as well as other documents (including the Service Rules) that regulate the functioning of the Internet Service and the procedure for providing services;

Provide only truthful personal (payment) data and subsequently make necessary corrections if such personal (payment) data changes, in the manner provided in this Agreement, as well as other documents that regulate relations between the Administration and the User;

Not use services provided by the Administration for unlawful purposes or for purposes that may in any way harm the Internet Service and/or third parties;

Not use VPN servers in ways that violate the Service Rules and this Agreement;

Not disclose confidential information that became known to them as a result of relations with the Administration and use of the Internet Service;

Not perform actions prohibited by the Agreement within the Internet Service and VPN servers transferred to the User for use;

Not violate the policy of citation, copying, and distribution of content, which is generally accepted on the Internet;

Familiarize themselves with the content of this Agreement and other rules regulating the procedure for providing services by the Administration and the procedure for using the Internet Service at least once every 2 (two) months.

When using the Internet Service and services, the User is prohibited from:

Using the Internet Service and services in any way that may interfere with the normal functioning of the Internet Service;

Uploading, storing, publishing, distributing, and providing access to or otherwise using viruses and other malicious programs;

Performing actions aimed at destabilizing the functioning of the Internet Service, attempting unauthorized access to the management of the Internet Service, as well as performing any other similar actions;

Collecting and/or storing personal (payment) data of Users for commercial purposes. In particular, collecting email addresses or other contact information of Users by automated or other means, including for the purpose of unauthorized mailing (spam) or competition;

Using automated scripts (programs) to collect information and/or interact with the Internet Service;

In any way, including by hacking, attempting to gain access to another person's account (user profile) against the will of the User to whom it belongs;

Distributing malicious software, spam, phishing;

Making any attempts at unauthorized access to systems;

Engaging in activities that infringe copyrights and trademark rights;

Sending unsolicited commercial messages (spam);

Engaging in activities prohibited by the legislation of the country of registration of the Administration and/or the User's country.

The list of obligations and restrictions of the User regulated in this Agreement is not exhaustive.

FINANCIAL OPERATIONS

Within the Internet Service, the User is provided with the opportunity to replenish their personal balance. The personal balance is statistical information that records the amount of funds paid to the Administration as prepayment for future services.

The User's personal account displays the amount of funds that the User has paid to the Administration as prepayment for future services.

The User is provided with the opportunity to place an order and pay for it from the prepayment that was transferred to the Administration and the amount of which is displayed in the User's personal account.

Payment is made by the methods provided in the User's personal account.

Placing an order by the User in the personal account is the User's instruction to the Administration to deduct funds in the established amount from the User's prepayment.

Funds transferred to the Administration by the User as prepayment for future services are subject to refund within fourteen calendar days from the date of the User's corresponding request to the Administration.

LIABILITY OF THE ADMINISTRATION

The Administration does not guarantee that the Internet Service does not contain errors and malicious programs. The Administration is not liable if the use of the Internet Service resulted in data loss or equipment damage.

The Administration is not responsible for possible failures and interruptions in the operation of the Internet Service (its services) and the resulting loss of information or damages. The Administration is not responsible for any damage to User mobile devices, any other equipment, or software caused by or related to the use of the Internet Service and its services.

The Administration does not bear any responsibility or obligations for damage caused to the User as a result of interaction with advertising placed in the Internet Service, if any, in the Internet Service.

The Administration is not responsible for losses and damages caused to the User as a result of using the Internet Service and its services.

Any trademarks, marks, and names of goods, services, and organizations, design rights, copyrights, and related rights that are mentioned, used, or cited in the Internet Service belong to their legal owners, and their use here does not give the right to any other use.

The Administration is not responsible for the accuracy of personal data provided by Users.

For violation of the terms of this Agreement, User access to the Internet Service (services) may be restricted, suspended, or terminated indefinitely.

The User bears material and other types of liability for violation of the terms of this Agreement, as well as other documents that regulate the functioning of the Internet Service, in the amount of losses, damages, and lost profits caused.

CONFIDENTIALITY

The Administration guarantees the collection, processing, and storage of Users' personal data in strict accordance with the requirements of current legislation.

The procedure for processing Users' personal data is regulated by the Privacy Policy of the STELSVPN Internet Service, published at - https://stelsvpn.com/private-policy

The User is granted a limited, non-transferable, non-exclusive license to use the Service software (applications, plugins) solely for the purpose of using services under this Agreement.

INTELLECTUAL PROPERTY RIGHTS

All objects available through the Internet Service, including design elements, text, graphic images, illustrations, video, programs, databases, and other objects, as well as any content posted on the pages of the Internet Service, are objects of exclusive rights of the Administration and other rights holders.

The use of content, as well as any other elements of the Internet Service, is possible only within the functionality of the Internet Service. No elements of the content of the Internet Service, as well as any content posted on the pages of the Internet Service, may be used otherwise without the prior permission of the rights holder. Use includes, among other things: reproduction, copying, processing, distribution on any basis, display, etc. Exceptions are cases directly provided for by law or the terms of use of a particular functionality.

The User's use of elements of the content of the Internet Service, as well as any content for personal non-commercial use, is permitted provided that all copyright protection marks, related rights, trademarks, other copyright notices are preserved, the name (or pseudonym) of the author/name of the rights holder is preserved unchanged, and the corresponding object is preserved unchanged. Exceptions are cases directly provided for by law or other documents that regulate the functioning of the Internet Service.

FORCE MAJEURE

The Administration is released from liability for partial or complete non-fulfillment of obligations under this Agreement if such non-fulfillment was a consequence of force majeure circumstances that arose after the publication of this Agreement as a result of force majeure circumstances that the parties could not foresee or prevent.

The parties consider force majeure circumstances to be events that make it impossible for the relevant party to fulfill its obligations under the contract: earthquakes, floods, other natural disasters, fires, nuclear and other industrial accidents, as well as strikes, military actions, civil unrest, or acts of government bodies that prevent the fulfillment of the terms of the Agreement. All other obstacles, regardless of their nature or characteristics, are not considered force majeure, except for those obstacles that will be specifically recognized by the parties as caused by force majeure circumstances.

Also, force majeure circumstances include situations where the Administration's failure to perform financial operations within the agreed time is related to the actions (inaction) of third parties over which the Administration has no control, including financial institutions and/or other institutions that are directly involved in conducting financial operations.

DISPUTES

This Agreement is governed by and construed in accordance with the current legislation of the Republic of Cyprus.

All disputes arising within the framework of the execution of this Agreement and other documents of the Internet Service are resolved through negotiations.

If it is impossible to settle a dispute through negotiations, the dispute is referred for consideration to courts of any jurisdiction at the location of the Administration.

The User confirms that the pre-trial dispute resolution procedure (claims procedure) is mandatory for disputes arising between the Administration and the User. The term for consideration of claims is 10 (ten) business days from the date of receipt of the corresponding claim by the relevant party.

TERM OF VALIDITY

This Agreement comes into force from the moment of its acceptance by the User and remains in effect throughout the entire time the User uses the Internet Service.

Early termination of this User Agreement is carried out by the User sending a corresponding notification to the Administration at the Administration's email address - info@stelsvpn.com

The offer of this Agreement is valid from the moment of its publication on the pages of the Internet Service and is valid for an unlimited period of time.

TECHNICAL SUPPORT

Within the Internet Service, Users may be provided with technical and advisory support, which is provided based on the relevant request from the User.

In cases where the User submits a request to the Administration outside of working hours, the Administration ensures a response to such User within the business day following the date of the User's request. The Administration cannot guarantee the availability of free managers 24/7, therefore a delay in responding to the User's request cannot be considered as the Administration's failure to fulfill its obligation for technical and advisory support.

FINAL PROVISIONS

This Agreement applies to all relations arising between the User and the Administration in the process of the User's use of the Internet Service.

This Agreement may be supplemented by documents published on the pages of the Internet Service. Such documents have legal force and may apply to relations between the Administration and Users similarly to this Agreement. At the same time, the norms and conditions set forth in this Agreement have primary legal force, and in case of contradiction between the norms of this Agreement and documents published on the pages of the Internet Service, the text of this Agreement shall prevail.

If individual provisions of this Agreement are found invalid by a court, this does not affect the validity of the remaining provisions of this Agreement, and they continue to operate and regulate contractual relations between the Administration and the User.
